Gabriella is an Associate at Makes & Partners Law Firm where she actively engages in M&A and banking & finance practice groups. This dual exposure enables her to advise on transactions from both an acquisition and a financing perspective, a capability that allows her to identify and assess legal risks holistically across transaction structures.

She has been involved in a range of high-profile mergers and acquisitions across diverse industries, including complex domestic and cross-border transactions. Gabriella is particularly valued for her rigorous legal due diligence and sharp legal research, where she analyses corporate structures, key commercial and financing contracts, and regulatory frameworks to identify risks that are material to transaction execution. Her parallel experience in banking and finance, acting for prominent domestic and international lenders as well as leading borrowers, allows her to approach M&A transactions with a strong acquisition-finance perspective. This enables her to assess how diligence findings affect financing conditions, security packages, and risk allocation, and to support transactions where acquisition and financing workstreams must be tightly aligned.

Prior to joining the Firm, Gabriella demonstrated strong academic and advocacy credentials. She earned awards from various moot court competitions such as the NMCC Abdul Kahar Mudzakkir IX. Beyond competitions, she was actively engaged in prestigious activities such as serving as an Analyst and Student Coordinator in a national, faculty-selected program with the Ministry of Investment/Investment Coordinating Board for the synchronization of Law No. 11 of 2020 on Job Creation.

Gabriella has been involved in several high-profile and complex transactions. Her experience includes representing and advising the following clients:

  • Djarum Group in its landmark acquisition of the parent company of Bakmi GM, a legendary and culturally iconic Indonesian restaurant chain, representing a strategic entry into the food and beverage sector and a deliberate diversification of the Group’s portfolio
  • PT Agung Podomoro Land Tbk (APLN) in the sale of strata title units of Neo Soho Mall and Deli Park Mall Medan, two iconic and landmark retail destinations in Indonesia, to entities controlled by Hankyu Hanshin Properties Corp., representing a high-profile cross-border acquisition of prime commercial real estate assets by one of Japan’s leading property groups
  • Medco Group in its pioneering acquisition of prime land parcels in Bali’s Nusa Dua area through a combination of direct acquisition and inbreng structuring, representing one of the first strategic divestments by PT Pengembangan Pariwisata Indonesia (ITDC) following a key policy shift and positioning Medco at the forefront of Indonesia’s high-end tourism and destination development agenda
  • PT Morula Indonesia in a strategic partnership with Jinxin Fertility Group Limited, a leading China-based assisted reproductive services group, involving a minority equity investment and the establishment of a long-term collaboration to expand advanced fertility and healthcare services in Indonesia
  • Kohlberg Kravis Roberts & Co. Inc. (KKR) – Advisory on Indonesian competition law and compliance for its multiple acquisitions in the education, health, laboratory, and technology sectors
  • PT Lippo Karawaci Tbk. (LPKR) as borrower  in syndicated loan facilities provided by Bank Negara Indonesia and CIMB Niaga, supporting the Group’s corporate financing and capital structure requirements
  • PT Samator Indo Gas Tbk & PT Samator Gas Industri, as borrowers under multi-lender loan facilities provided by leading domestic and international banks, supporting the financing needs of one of Indonesia’s largest industrial gas groups
  • PT Bank SMBC Indonesia Tbk (previously known as PT Bank BTPN Tbk), as lender in connection with a corporate loan facility extended to PT Kepland Investama, involving structured financing and lender-side risk considerations
  • PT Indonesia Infrastructure Finance (IIF) as lender in providing a senior term loan facility to Mayapada Healthcare Group, supporting the strategic expansion of healthcare infrastructure and hospital facilities in Indonesia
  • Leafgreen Demeter Holdings Pte. Ltd. in connection with financing provided by Orion Credit Capital, structured to fund a strategic acquisition and refinance existing indebtedness, involving cross-border financing and acquisition-related debt structuring
