PROFILE

 

Nadia is a Senior Associate at Makes & Partners Law Firm, where she focuses on high-stakes mergers and acquisitions (M&A), foreign investments, and complex corporate transactions. She is recognised for advising on transactions that are structurally intricate and highly sensitive, often arising from layered complexities such as shareholder realignments, group-wide strategic reorganizations, and other transitional or special-situation contexts.

 

She began her career advising on a broad range of corporate and M&A matters, developing a deep understanding of the Indonesian legal and regulatory framework. A significant portion of her practice involves cross-border M&A, where she regularly navigates competing stakeholder interests, foreign counterparties, and sophisticated commercial dynamics. Nadia is also experienced in M&A transactions conducted through competitive bid and auction processes, advising clients on auction mechanics, deal-certainty strategies, and bid structuring to strengthen positioning and execution outcomes. 

 

In line with the Firm’s longstanding role as trusted transaction counsel to Indonesia, Nadia has been actively involved in strategic state initiatives, including pro-bono work such as advising on the planned establishment of a family office scheme within a Special Economic Zone and supporting the team led by Dr. Yozua Makes in the development of the governance framework for Indonesia’s first sovereign wealth fund, the Indonesia Investment Authority. 

 

She also contributes to the Firm’s thought leadership, including as a co-author of The Mergers & Acquisition Review.

Nadia has been involved in a number of high-profile, complex, and strategically significant transactions, including, among others:

  • PT iForte Solusi Infotek in its acquisition of majority stake in PT Inti Bangun Sejahtera Tbk., a major telecommunication infrastructure company, through a rigorous bidding process.
  • MedcoEnergi in its strategic acquisition of major subsidiaries of PT TBS Energi Utama Tbk, supporting TBS’s 2030 coal phase-out and decarbonization agenda while enabling MedcoEnergi to diversify its energy portfolio and pilot a pragmatic, commercially viable energy-transition strategy, as conducted through a competitive bid process.
  • PT Samator Indo Gas Tbk, Indonesia’s largest industrial gas producer, in the strategic investment by Matrix Company Limited, an investment holding company managed by CVC Capital Partners, through the acquisition of shares from the founder and related parties.
  • MedcoEnergi in its acquisition of PT Mahkota Prima Properti, an investment vehicle of GIC Private Limited and the owner and operator of Capital Place Tower, a premium commercial landmark in Jakarta.
  • Euromedica Group, the owner and operator of the first international beauty and aesthetic clinic in the Sanur Special Economic Zone, in the sale of a stake held by its founding shareholders to Adivira Capital.
  • Jaya and Jakpro Group, leading infrastructure companies in Indonesia, in their divestment of shares in the holding company of the operator of JORR W2 North Toll Road, one of the major toll roads in Jakarta, through a competitive bid process.
  • PT Global Berkat Usahatama, in its landmark acquisition of the Indonesian subsidiaries of Sime Darby Plantation, the biggest and most prominent Malaysian conglomerate groups regarded as one of the world’s largest producers of certified sustainable palm oil with a presence in over 100 countries.
  • A premier Indonesian energy and investment group in its strategic entry into the Nusa Dua Tourism Area through the execution of a Land Utilization and Development Agreement with PT Pengembangan Pariwisata Indonesia (InJourney Tourism Development Corporation), representing one of the first strategic divestments by PT Pengembangan Pariwisata Indonesia (ITDC) after a key policy shift.
