Samuel is a Senior Associate at Makes & Partners Law Firm, where he actively engages in capital markets and mergers and acquisitions (M&A).

 

He has played a key role in numerous precedent-setting, multijurisdictional public offerings – including local and international offerings under Regulation S and Rule 144A of the U.S. Securities Act of 1933 – as well as private placements across a wide range of securities. His practice also encompasses M&A transactions involving listed companies spanning multiple industries. Further, he is frequently involved in transactions requiring innovative structuring and regulatory solutions, and has acted on landmark deals that have shaped Indonesia’s capital markets, including advising on the issuance of the largest Indonesian Dana Investasi Real Estat (DIRE).

 

Early in his career, Samuel received recognition from Asialaw and The Legal 500, where he was ranked in the highest tiers – making him, to date, the youngest lawyer ever listed therein. This early recognition reflects his involvement in some of Southeast Asia’s most complex and landmark capital markets transactions.

 

Beyond his transactional practice, Samuel actively contributes to initiatives aimed at expanding retail investor participation in Indonesia, including through a community acknowledged by the World Bank as the largest social movement in the Indonesian capital markets industry.

 
 
Relevant Experience

 

Samuel has been involved in several high-profile and complex transactions. His experience includes representing and advising issuers, banks, shareholders, and corporate clients in domestic and cross-border capital markets and M&A transactions, including:

  • BNP Paribas, Citigroup, Credit Suisse, Mandiri Sekuritas, and UBS, as joint bookrunners and joint lead managers, in connection with multiple issuances and tender offers of various SGX-listed global bonds by Global Prime Capital Pte. Ltd., a wholly owned subsidiary of PT Bumi Serpong Damai Tbk.
  • PT Mora Telematika Indonesia Tbk, one of the largest private telecommunications infrastructure and network providers in Indonesia, in its Sharia-compliant shelf bonds offering, including the issuance of multiple tranches pursuant to Indonesia’s shelf registration framework.
  • PT Candrakarya Multikreasi in its issuance of medium-term notes (MTN) and the subsequent private placement of the MTN, marking the first private placement conducted following the issuance of Indonesia’s inaugural private placement regulation.
  • PT Sinarmas Asset Management and the sponsors in the securitization of PT Plaza Indonesia Realty Tbk (PLIN) into a real estate investment fund (REIF) and the subsequent public offering of the REIF units. This deal involved 3 (three) Indonesian listed real estate tycoons—PLIN, PT Bumi Serpong Damai Tbk, and PT Indonesian Paradise Property—and combined novel capital markets, M&A, and structured finance elements. It remains, to date, the largest REIF on the Indonesia Stock Exchange.
  • PT Bank Danamon Tbk in its acquisition by Mitsubishi UFJ Financial Group (MUFG), a landmark cross-border banking M&A transaction in Indonesia.
  • PT Tunas Baru Lampung Tbk, a leading integrated agribusiness company in Indonesia, in its simultaneous issuance and offering of multiple debt instruments, including global bonds (issued pursuant to Regulation S), shelf bonds, and medium-term notes (MTN), as part of its broader funding program.
  • PT Totalindo Eka Persada Tbk, in connection with its initial public offering (IPO), including the international offering conducted pursuant to Wrap Regulation S under the U.S. Securities Act of 1933.
  • Ciputra Group, an Indonesian real estate conglomerate, in the integration (merger) of 2 (two) listed companies within the group, namely PT Ciputra Surya Tbk and PT Ciputra Property Tbk, into PT Ciputra Development Tbk, another listed company of the group.
  • PT Samator Indo Gas Tbk, the first and largest industrial gas company in Indonesia, in its initial public offering (IPO), including the international offering conducted pursuant to Regulation S under the U.S. Securities Act of 1933.
  • PT Bentoel Internasional Investama Tbk, a member of British American Tobacco Group, in its pre-emptive rights offering, representing one of the largest rights issues in Indonesia to date.
